Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the SOPs Hub platform, website, and related services (collectively, the "Service") operated by SOPs Hub AB, Reg. No. 559456-7890, Kungsgatan 48, 111 35 Stockholm, Sweden ("SOPs Hub," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Definitions

  • "Account" means a registered user account on the SOPs Hub platform.
  • "SOP" means a Standard Operating Procedure — an executable workflow on the SOPs Hub platform.
  • "User" means any individual or entity that uses the Service.
  • "Content" means any data, information, text, software, scripts, code, or other materials uploaded, created, or transmitted through the Service.
  • "Subscription" means a paid plan that grants access to certain features of the Service.

3. Account Registration and Terms

To use certain features of the Service, you must create an Account. When registering, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and update your Account information to keep it accurate.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your Account.
  • Accept responsibility for all activities that occur under your Account.

You must be at least 18 years of age to create an Account and use the Service. By creating an Account, you represent that you meet this requirement.

4. Service Description and Future Subscription

SOPs Hub provides an AI-powered marketplace and runtime for Standard Operating Procedures, enabling users to automate business workflows across connected tools and systems.

Currently, the Service is offered as an early-access waitlist. Future paid Subscription tiers will be introduced, offering varying levels of access, features, and usage limits. Pricing, payment terms, and feature availability for Subscriptions will be communicated prior to launch. By using the Service, you acknowledge that certain features may require a paid Subscription in the future.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

  • Violating any applicable law, regulation, or third-party right.
  • Uploading or transmitting viruses, malware, or any harmful code.
  • Attempting to bypass, disable, or interfere with security features.
  • Reverse-engineering, decompiling, or disassembling the Service.
  • Using the Service to send unsolicited communications (spam).
  • Engaging in any activity that could damage, disable, or impair the Service or interfere with any other party's use of the Service.
  • Using the Service for purposes of artificial intelligence training or model extraction without our explicit written consent.
  • Accessing the Service through automated means (scraping, bots, crawlers) without prior written permission.

6. Intellectual Property Rights

6.1 Our IP

The Service, including its code, design, layout, graphics, logos, documentation, and all intellectual property rights therein, is owned by SOPs Hub AB or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No ownership rights are transferred to you.

6.2 Your IP

You retain all rights to any Content you submit, upload, or create through the Service. By submitting Content, you grant SOPs Hub a worldwide, non-exclusive, royalty-free license to host, store, process, and display your Content solely for the purpose of providing the Service to you.

6.3 Feedback

Any suggestions, feature requests, or other feedback you provide may be used by SOPs Hub without restriction or obligation to you.

7. Payment Terms

Access to the Service is currently free during the early-access period. When paid Subscriptions are introduced:

  • Subscription fees will be billed in advance on a monthly or annual basis, as selected during checkout.
  • Payments will be processed securely through Stripe. We do not store your full payment card details.
  • All fees are exclusive of applicable taxes (e.g., VAT, sales tax), which will be added at checkout where required.
  • Subscriptions will auto-renew unless cancelled before the renewal date.
  • You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period.
  • No refunds or credits will be provided for partial months of service.
  • We reserve the right to change our pricing with 30 days' notice. Continued use after the price change constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • SOPs Hub and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of €100 or the amount you have paid us in the 12 months preceding the claim.
  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable Swedish law.

9. Indemnification

You agree to indemnify, defend, and hold harmless SOPs Hub AB, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) your use of the Service in violation of these Terms; (ii) your Content; or (iii) your violation of any applicable law or third-party right.

10. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • You breach any provision of these Terms.
  • Your conduct could harm other users, third parties, or SOPs Hub.
  • Required by applicable law or regulatory authority.

Upon termination: (i) your right to use the Service ceases immediately; (ii) we may delete your Account and Content after a reasonable period; (iii) Sections 6, 8, 9, and 12 of these Terms shall survive termination.

11. Data Processing and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to the processing of your data as described therein. To the extent we process personal data on your behalf as a processor, the terms of our Data Processing Agreement (available upon request) shall apply.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of Sweden, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through amicable negotiations. If the dispute cannot be resolved within 30 days, it shall be finally settled by the Stockholm District Court (Stockholms tingsrätt) as the court of first instance. You may also choose to bring a dispute before the Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden, ARN) if applicable.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes. If you do not agree, you must stop using the Service.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SOPs Hub regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
  • Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control.
  • Notices: All notices shall be sent to the email address associated with your Account or to legal@sopshub.com.
  • Language: These Terms are originally drafted in English. In case of any inconsistency between the English version and any translated version, the English version shall prevail.
